1. Eligibility and acceptance+
You must be at least 18 years old, able to enter a binding agreement, and provide accurate application, contact, payment, and tax information. Applying does not guarantee acceptance. Participation begins only when AGORA approves you in writing or activates your program account. AGORA may decline an application where the program, payments, or shipping cannot be supported.
2. Independent relationship+
You participate as an independent contractor, not as an employee, agent, franchisee, joint venturer, or legal representative of AGORA. You cannot make commitments on AGORA's behalf. Your legal classification depends on the actual working relationship and applicable law, not this label alone. You control how and when you create content, subject to these Terms and any campaign brief, and you are responsible for your ordinary expenses unless AGORA agrees otherwise in writing.
3. Tiers and commission rates+
The standard tiers are Agora Ambassador at 10%, Agora Creator at 15%, and Agora Partner at 20% of Net Eligible Sales. Your current tier is the one shown in your program portal or most recent written offer. Creator and Partner status are discretionary and are not guaranteed by follower count, posting volume, or sales. AGORA may change a tier or rate prospectively by written notice; the change will not reduce commission already earned on a confirmed Net Eligible Sale before the effective date.
4. Net Eligible Sales+
A Net Eligible Sale is the merchandise amount actually paid on an order properly attributed to you after discounts, excluding tax, shipping, gift-card value, returns, refunds, cancellations, chargebacks, fraudulent orders, duplicate orders, self-purchases, resale activity, and transactions that violate these Terms. Commission is not earned on an order until payment settles and the applicable return and fraud-review period has passed.
5. Links, codes, and attribution+
Use only the link or code AGORA assigns to you. A sale is attributed only when AGORA's commerce or attribution system successfully records that link or code on the order. A valid ambassador code entered at checkout controls over an earlier referral link; otherwise the current attribution settings shown in the program portal or welcome materials apply. AGORA will reasonably review a reported tracking error, but screenshots or customer statements alone do not create commission when the order cannot be verified in AGORA's records.
6. Payouts+
Unless a written offer states a different schedule, confirmed balances of at least $25 are reviewed monthly and ordinarily paid within 45 days after the end of the month in which they become eligible. Smaller balances roll forward. You must complete the supported payout and tax setup. AGORA may delay payment while investigating fraud, ownership, attribution, legal-compliance, or payment-provider issues and will release any undisputed eligible amount when the review is complete.
7. Returns, refunds, and chargebacks+
If an attributed order is returned, refunded, canceled, charged back, or later found ineligible, its commission is reversed. AGORA may deduct the reversal from a current or future balance. If your account ends with a negative balance, AGORA may require repayment only to the extent allowed by law and after providing an itemized explanation.
8. Advertising disclosures and training+
Every endorsement must clearly and prominently disclose your material relationship with AGORA in a way ordinary viewers will notice with the endorsement. Plain disclosures such as “Ad,” “Sponsored,” “Paid partnership with AGORA,” or “I earn commission from this link” may be appropriate depending on the content and platform, but no label alone guarantees compliance. A profile bio, vague term such as “collab,” or hidden hashtag is not enough. Use each platform's paid-partnership tool when available, complete any disclosure guidance AGORA provides, correct issues AGORA identifies, and follow the FTC Endorsement Guides and applicable local advertising rules.
9. Honest content and conduct+
Share only honest experiences and claims you can support. Do not make medical, environmental, performance, pricing, availability, charitable, or product claims AGORA has not approved. Do not use unlawful, hateful, harassing, sexually explicit, deceptive, discriminatory, infringing, or unsafe content in connection with the program. Do not impersonate AGORA, mislead customers, send spam, place links on coupon or deal sites without written permission, bid on AGORA trademarks in search ads, use cookie stuffing, or interfere with another ambassador's attribution. AGORA may review public program content for compliance and request a correction or removal.
10. Content ownership and permission+
You keep ownership of original content you create. By tagging AGORA, submitting content to AGORA, or posting content for the program, you grant AGORA a non-exclusive, worldwide, royalty-free license during your participation and for 12 months afterward to repost, display, crop, resize, caption, and format that content on AGORA-owned websites, email, and organic social channels, with attribution where reasonably practicable. AGORA will obtain separate written permission before using your content in paid advertising or materially changing its meaning. You confirm that you have permission for all people, music, images, trademarks, and other material in your content.
11. Brand materials and confidential information+
AGORA gives you a limited, revocable, non-transferable right to use approved names, logos, links, codes, and campaign materials only for program activity. Do not alter a logo or imply a deeper sponsorship than AGORA approved. Non-public launch dates, pricing, product details, customer information, briefs, and business information must remain confidential until AGORA makes them public or authorizes disclosure.
12. Ending participation+
You or AGORA may end participation at any time by written notice. AGORA may suspend tracking or end participation immediately for fraud, unsafe or unlawful conduct, repeated disclosure failures, misuse of customer data, infringement, or another material breach. After termination, stop using program materials and remove active codes or claims of an ongoing relationship. Confirmed eligible commission earned before termination remains payable subject to these Terms; unconfirmed, fraudulent, or later-reversed transactions do not become payable.
13. Taxes and records+
You are responsible for reporting and paying taxes connected with program income. AGORA may request a W-9, W-8, identity verification, or other legally required information, may withhold payment until it is complete, and may issue Form 1099-NEC or another tax form when required. Keep your contact, payment, and tax information current.
14. Privacy+
AGORA uses application, contact, social-profile, attribution, payment, tax, and program-activity information to review applications, operate the program, prevent fraud, communicate, make payments, and meet legal duties. The AGORA Privacy Policy explains more, including available privacy choices. Do not collect or use customer personal information through the program unless AGORA expressly authorizes it in writing.
15. Changes, law, and contact+
AGORA may update these Terms prospectively as the program, providers, or law changes. Material changes will be posted here or sent through the program contact information before they take effect. Continued participation after the effective date means you accept the updated Terms. Applicable consumer, worker-classification, advertising, and privacy rights remain in effect.
